Re: Site servicing contract for Colonel Sam Smith Park
Further to the proceedings of the meeting of March 24, 1992 attended by MTRCA, Humber College,
and Lakeshore Yacht Club (LSYC) representatives, including Mr. Hans Sustronk as consultant to
the MTRCA, I am pleased to formally express our intent to proceed as planned regarding the
cooperative effort to provide site servicing on the lands proposed to be leased to LSYC. We are in
agreement with the cost sharing formula which stipulates a total of $22,135 for the LSYC share.
We agree with Humber College that it would be inappropriate for LSYC or Humber College to
assume any costs related to the servicing of the lands proposed for the -future Club B-,
We also agree to the terms discussed at the meeting as follows:
- the agreement would be effective as of Authority Approval (April 24, 1992);
- the warranty would be for one (1) year; and
- LSYC would remit 50% of $22,135 within fifteen (15) days of award of contract; however,
LSYC will require that the above mentioned agreement would provide for a reimbursement
to LSYC should the proposed lease fail to be implemented due to circumstances beyond the
control of LSYC.

at your earliest convenience.

College Sailing School - Site Servicing
Dear Mr. Cowey:
Further to our recent telephone conversation, we are pleased to
confirm that internal funding for the College portion of Site
Servicing, an amount not to exceed $52,000.00, has received final
approval.
Accordingly, we request that all items which apply to
installation of watermain, sanitary sewer, hydro and Bell duct
for the College site, be included in the contract awards.
We further agree to submit to the Authority payment for 50% of
the identified amount of $51,219.00 within 15 days of contract
award date, and the remaining balance within 30 days of
substantial completion and acceptance of the contract. To
facilitate payment, would you please submit invoices to the
College at the appropriate times.
In preparation for our 1992 "temporary" occupancy of the site, we
are now formulating the appropriate strategy and will be
submitting plans and details for your review/approval in the near
future, in conjunction with submissions to the City of Etobicoke
and Metro Parks & Property.
We look forward to the realization of many years of preparation
and planning and your continued interest in the College Program.

5.(i) The obligatiollJ of Purc.baser to complete this Agreement shall be subject to the
fulfilment of the following CODdiliOJll o:a or befOlC the dat~ as herein provided, which conditions
arc for the sole benc1lt of Purchaser and which may be waived, in whole or in part, only in
wrltlDg by the Purchasc:r:
(a) no material reduction of total acreage of the Property as a consequence of the
requirements of any public authority other than as a consequence of the Proposed
Use shall have occurred from the date of this Agreement up until the Cosing
Date;
(b) the condition of the Property, including the soil and substrata, Is satisfactory to
Purchaser, provided If the surface of the Property is altered as a consequence of
Purchaser's entry and tCltll, It shall be restored to the SlIme conditIon as cxisted
prior to the making of such entry;
(e) the costs of permits, develClplIlent charg~, levies, fees and Imposts, sanitary and
storm sewers, drainage, grading and elevation, water services, points of entry and
egress, will be satisfactory to Purchaser;
(d) Purchaser shall hve, by the Cosina Date, obtained the approval of the
municipality and othu aovcmmental authorities to the Proposed Use (all of which
approvals arc hc:rcin refcrrccl to as the "Municipal Approval"), which approval
,hall inclUde: ,
(i) amendments to thl! Dfficial PIIII and the by-law, and regulations of the
municipality permitting the Proposed Use which amendments shall be: final
IIId binding and have received the approval of the Ontario Municipal
Board, It required;
(ii) the Propcny shall cease to be included In the Parkway Belt Planning Area
("Parkway Belt") pumwlt to the Parltway Belt Planning and Dcvelopmc:nt
Act;
(iii) aite plan approval for the Proposed Use by the municipality and the
svailability of the building permit permitting c:onstruction on the Propcny
in ICQ)rdance with the Proposc:d Use subject only to the payment of all
applicable fees and the submission of plans and specifications as would
normally be requin:d by the Municipality prior to the isslWlcc of a
building permit;
(iv) approval by Vendor of the overall plans and specmcations, including
number of suiles and site plan by Purchaser;

or before the 31st day of Dec:cmber, 1992 and it the conditions contained in subpangraphs 5(i)(a)
and (d) have not been waived or satisfied on or be:fc= the day immediately prior to the Closing
Date Purchaser may, at Its option, by written notice to the Vendor terminate thi. Agreement
provided notice is given within the time speci1lcd for such condition to be waived or satisfied
and it no such notice is given within the speei1led time the particular condition will be deemed
waived and satisfied.
5.(iI) Proposc:d Use lD this Agreement means the use of the Propcny for a senior citizel1S '
residence consisting of "pante self-contained apartmC%lIl with reacational facilities for the use
IIId erijoymc:nr of the residents and whlch will be avallable free of charge to them and not more
than _ square feet of commercial rental space.
6. The obligations of Vendor to complete this Agreement shall be subject to the
fulfilment of the following conditions on or before the Casing Dale which conditions are for the
sole benefit of Vendor and which may be waived in whole or in pan by it: :
(a) Vendor shall hve obtained prior to the Casing Date any approvals required to
be obtainc:d by it prior to the disposition of the Property from the Ueutenant
Govemor in Council pumumt to the provisions oC The Conservation Authorities
Act;
(b) Purchaser will have entered into an agreement with the Vendor, and satisfactory
to Vendor, whereby Purchaser agrees to be bound by Authority Conditions 1-6
found On page 4 of the Request for Proposals issued by Vendor for the Propeny,
a copy of which is attached as Schedule "B", which conditions shall tun with the
Property and be binding upon the Purchaser, Its successors and assigns;
(e) Municlpal Approval shall have been received prior to the COsing Date;
(d) Purchaser shall have entered into an agreement with Vendor to develop the
Propc:ny in accordance with the Municipal Approval;
If any One or more of the conditions have not been waived or satisfied on or 'before the Closing
Date, Vendor may, at ill option by written notice to Purchaser terminate this Agreement providc:d -.
