Annual Meeting
February 9th, 1961 No. 1
The 1961 Annual Meeting of the Authority was held on Thursday, February
9th, 1961 in the Richmond Hill Council Chambers, Richmond Hill, Ontario,
and commenced at 2:00 p.m.
Following the singing of God Save The Queen, the Invocation was read
by Reverend James O'Neil, Rector of St. Mary's Anglican Church,
Richmond Hill.
The Secretary- Treasurer certified as to those entitled to be Members
of the Authority.

327 1 Borrowing Resolution 1961
(a) That the Chairman or Vice - Chairman and the
Secretary - Treasurer of the Metropolitan Toronto and
Region Conservation Authority are hereby authorized
on behalf of the said Authority to borrow from
time to time, by way of promissory note, from the
Royal Bank of Canada, Woodbridge Branch the sum
or sums not exceeding in the aggregate $2,000,000.00
to meet immediate administrative epxenditures
until the Province of Ontario grant and sums levied
against the participating municipalities have been
received, and to give on behalf of the said
Authority a promissory note or notes, sealed with
the Corporate Seal and signed by the Chairman or
Vice - .Chairman and the Secretary - Treasurer, for the
monies so borrowed, with interest which may be
paid in advance or otherwise, at a rate not exceeding
54 percentum per annum,
(b) All sums borrowed pursuant to the authority cf
this resolution, for the purposes mentioned hereiE,
shall, with interest thereon, be a charge upon the
whole of the monies received or to be received by
the said Authority, as and when such monies are
received.
(c) The Secretary- Treasurer,is hereby authorized
and directed to apply in payment of all sums borrow-
ed as aforesaid, together with interest thereon,
all of the monies hereafter collected or received
by the said Authority from the Province of Ontario,
by way of a grant, or from the participating municip-
alities pursuant to a levy to be made in accordance
with the plovisions of the Conservation Authorities
Act, 1960, as amended.

auditors of the Authority for the year 1961.

of the Banks of the Don River in the Vicinity of
Bloor Street" be adopted, and further in this
connection the following action be taken:
(a) that the Municipality of Metropolitan Toronto
be designated as the benefitting municipality;
(b) that the Minister of Planning and Development
be requested to approve of the Scheme and a grant
of 50% of the cost thereof;
(c) that a copy of the Scheme be forwarded to the
Municipality of Metropolitan Toronto and that no
action be taken on the Scheme until such time as
it is accepted and approved by the said Municipality;
(d) that when approved, the appropriate Authority
officials be authorized and directed to take what-
ever action is required in connection with the
Scheme including the execution of any necessary
documents.
HISTORICAL SITES:
291 10 Policy re Recognition of Gifts and Donations
That, as a matter of policy, acknowledgement or
memorial plaques be not permitted in the Pioneer
Village, but that recognition of gifts shall be
made in a suitable form available to the public.

Schedule "A"
REPORT OF THE CHAIRMAN TO THE ANNUAL MEETING
FEBRUARY 9, 1961
Introduction
At the conclusion of my third year as Chairman, it is my
very great pleasure to report that the Authority has had another
successful year and continues to forge ahead an all conservation
fronts.
The Authority
There have been 101 meetings during the year of the
Authority, its Advisory Boards and Committees. The Authority had
53 members during the year and approximately 100 people acted on
our Boards, Committees and Sub - Committees during the year.
Mr. William Davidson, Q.C., again gave me strong support
and sound advice in the office of Vice - Chairman.
The Staff
The staff, under the leadership of Secretary - Treasurer
Fred Lunn, and Director of Operations Kenneth Higgs, has performed
in a manner in which we can be justly proud. The Head Office staff
handled the multitudinous duties of accounting, purchasing and
liaison with municipalities and the Government of Ontario in a tire-
less and efficient manner. The Operations Staff has maintained and
enhanced its enviable reputation for unfailing courtesy to the public
and "good housekeeping" in our expanding areas. On every hand I
encounter praise and encouragement for our work and our policies.
During the year we lost, through voluntary retirement,
Mrs. Dianne Sutter, our very capable geographer. At the same time
we were fortunate in being able to obtain Mr. Ted Sutter, formerly
Field Officer of the Credit Valley Authority, to assume the position

of Assistant Director of Operations. Mr. Sutter has already
demonstrated his ability to shoulder his share of the Operations
load.
The work of our property division has increased consider-
ably, and we have obtained the services of Mr. W. E. Jones as
Property Co- ordinator.
Conservation Lreas
The Authority acquired an additional 465 acres of Conser-
vation Areas land during the year. The sizes of the Areas in 1959
and 1960 are shown below.

You will be asked at this meeting to approve extensions
to the following Areas during 1961 - Heart Lake, Albion Hills, Boyd,
Glen Haffy, Greenwood and Black Creek.
The Claremont Area is being progressively developed for
an official opening in the early summer of this year. You will be
asked to approve a scheme to construct a crossing of Duffin Creek
in this Brea, in accordance with the Consulting Engineers'
recommendations.
On June 2, 1960, His Honour the Lieutenant- Governor o 12
Ontario, The Honourable Keiller Mackay, D.S.O., V.D., L.L.D.,
officiated at the opening of the Black Creek Area and the dedication
of the Pioneer Village. This function will be referred to in more
detail later.
The attendance at the :areas remained in the neighbourhood
of $00,000, and again was comprised in large measure of entire
families.
Reforestation and Land Use
During the year 550,000 trees were planted, and 16 farm
ponds were subsidized. This Board has proposed the development of
a new type of Area to be known as a Forest and Wildlife Conservat-
ion Area. It has recommended the purchase of 20d acres in the first
of such Areas, and such developments promise to become a valuable
addition to our conservation establishment. These Areas will occupy
a place between our present Conservation .areas and the reforestation
projects. It will be possible to carry out and demonstrate various
types of plantings in them, and at the same time permit limited
public use.
Historic Sites
The Historic Sites Advisory Board had its year in the spot
light during 1960. It held an Official Dedication of the Pioneer
Village on June 2nd, at which the Lieutenant- Governor of Ontario
officiated. His Honour not only delivered a timely and impressive
address on this occasion, but also planted what will become a
"spreading chestnut tree" beside the village smithy.
On the occasion of the Pioneer Festival, the Printing
Sub - Committee brought out the first edition of the Pioneer Press.
They plan tc issue the second edition at the opening of the 1961
season.
You will note that we refer to the ceremony at the
Pioneer Village as its Dedication. The Village is at present
perhaps only 60 percent completed, and it is planned to have the
gala Official Opening of the completed Village in the year 1967,
which year will have a special significance for all of us.

The attendance at the Pioneer Village since its Dedicat-
ion has been gratifying, and beyond the expectation of most of us.
Some 91,000 persons have visited the Village and Museum in 1960.
The attendance at the Pioneer Festival on September 24, 1960, was
10,000. Several new features were added to the Festival, and it
was apparent that this function has become a firmly established
event.
During the year, the major acquisition was the Fisherville
Presbyterian Church which was moved to the Village on November 1st.
We are indebted to the United Church of Canada, the Trustees of the
Fisherville Church and its Congregation for agreeing to the transfer
of this beautiful early church to the Village.
Information and Education
Our public relations appear to be in good order. Increas-
ingly the public gives evidence of an understanding and active
support of our work. On several occasions when matters of greenbelt
encroachment have arisen, newspaper editorials, society protests
and letters from individuals have spoken out in favour of the Auth-
ority policies.
Through this Board and our consultants, the Ontario
Editorial Bureau, excellent coverage has been obtained in press,
radio and television. The Chairman, members and staff delivered
93 public addresses during the year. Our coloured film "Legacy of
the Valleys" was publicly shown on 77 occasions.
Flood and Pollution
In my last annual report, great emphasis was placed upon
the urgent need for the implementation of our flood control plans.
I am sorry to say that the Plan has not yet been approved by the
Government of Canada. We have had assurance that our submissions
are under intensive study in Ottawa, and it is our hope that
positive action will be forthcoming soon. On the bright side of
the picture, we have noted that the Upper Thames Valley plan has
received official approval; as has the plan to build the Parkhill
Dam on the i usable River.
While our major flood control plan has not yet been

which could not be delayed. This work has been mainly on the
Black Creek and comprised such work as channel improvements at
bridges under construction and studies of further phases of Black
Creek improvement.
In my report to you last year it was stated "It is an
indisputable fact that our Flood Control Ilan is by long odds the
most important business before the Authority!" This isstill my
opinion. We are still vulnerable to floods in the area and it is
more than ever urgent that we be permitted to acquire reservoir and
other lands before impending development makes this prohibitive or
even impossible.
Our Partners
I have always been pleased to point out that our Conser-
vation achievements are the result of a partnership. Our partners
are the twenty -three municipalities in our area and the Government
of Ontario. We have appreciated the support and approval of the
municipalities and the Government of Ontario.
Since my last report, we have learned of an impending
event which I cannot let pass without comment. Mr. Frederick G.
Gardiner, C.C. has announced that after the year 1961 he will no
longer be available for the office of Chairman of the Metropolitan
Corporation. We of the Conservation aithority have always found
him to be a staunch supporter of the work of Conservation. He has
commended us on many occasions for the work being done by the
Authority. We join with all other citizens of the Metropolitan area
in thanking him for a large job well done and wish him well in his
future endeavours.
We are again grateful to the Minister of Commerce and
Development, The Honourable W. M. Nickle, Q.C., and his Departmental
Staff for support and advice on all occasions.

Resolved That: - The 1961 Budget Estimates
as presented be adopted as the 1961 Budget
of the Authority and appended as Schedule "A"
of these Minutes; and further that Scheme
C.A. -2/61 "A Scheme for the Acquisition and
Development of Conservation ;areas in 1961"
be adopted; and that whereas Section 15,
.Subsection (f) of the Conservation Authorities
Act (R0 S.00 1952, Chapter 62) provides that
for the carrying out of an approved Scheme an
Authority shall have the power to determine
the proportion of total benefit afforded to
all Municipalities which is afforded to each
of them; the Metropolitan Toronto and Region
Conservation Authority therefore enacts
as follows:
(1) that all member Municipalities be designated
as benefitting Municipalities for Scheme
C.A.-2/61;
(2) that the Authority's share of the cost of
Scheme C.A. -2/61, as set out in the Budget,
shall be raised from all member Municipalities
as part of the Current Capital Estimates of the
annual Levy;
(3) that the Secretary - Treasurer be instructed
to advise all Municipalities, pursuant to
Section 16, Subsection 1 of the Act, and to levy
the said Municipalities the amounts set out in
the Budget

SCHEME W.C., -34 -- 'QA Scheme for the Improvement
of the Channel of the Lower Hi hland Creek, the
Lower Humber River and the Lower Etobicoke Creek"
be adopted; and further in this connection that the
following action be taken:
(a) that the Municipality of Metropolitan Toronto
be designated as the benefitting Municipality;
(b) that the Minister of Commerce and Development
be requested to approve of the Scheme and a grant
of 50% of the cost thereof;
(c) that a copy of the Scheme be forwarded to the
Municipality of Metropolitan Toronto and that no
action be taken on the Scheme until such time as
it is accepted and approved by the said Municipality;
(d) that when approved, the appropriate Authority
officials be authorized and directed to take what-
ever action is required in connection with the
Scheme including the execution of any necessary
documents;
(e) that the works included in Scheme W.C. -34 be
submitted to the Provincial and Dominion Governments
requesting approval of the works contained in the
Scheme as a Winter Works project.
BRAMPTON ENGINEERING STUDY:
The proposed Engineering Study on the Etobicoke
Creek in the Town of Brampton be proceeded with on
the basis of a 50% grant which has been authorized;
and further that the Staff be authorized to instruct
James F. MacLaren & Associates to proceed with the
Preliminary Engineering Study.

SCHEDULE "B" APPENDIX "A"
Submission to the Provincial Secretary for the Incorpor-
ation of the Metropolitan Toronto and Region Conservation Foundat-
ion.
Constituting them and any others who become members of
the Corporation hereby created a corporation without share capital
under the name of
THE METROPOLITAN TORONTO AND REGION CONSERVATION FOUNDATIC
for the following objects, that is to say:
(a) To aid the Metropolitan Toronto and Region Conservation Author-
ity in the cultivation and advancement of Conservation in the
Province of Ontario by serving as permanent custodian of the
endowment funds of The Metropolitan Toronto and Region Conser-
vation Authority; and
(b) To do all such things as are incidental or conducive to the
attainment of the above objects including, but without limit-
ing the generality of the foregoing:
1. To solicit, acquire, accept or receive gifts, donations,
bequests or subscriptions of money or other real or
personal property whether they be unconditional or subject
to special conditions provided any special conditions are
not inconsistent with the above objects;
2. To hold, manage, improve, develop, exchange, lease, sell,
turn to account or otherwise deal with the real or personal
property from time to time held by the Corporation and to
retain any real or personal property in the form in which i
nay be received by the Corporation for such length of time
as the Corporation may determine;
3. To invest and deal with the moneys of the Corporation in
such manner as the Corporation may from time to time
determine; provided, however, that such moneys may be
invested only in investments of a kind authorized by The
Trustees Act, R.S.O. 1960, Chapter 408, or any subsequent
amendment thereto, for the investments of the funds of join
stock insurance companies;

4. To use the income of the Corporation in such manner as the
board of trustees may from time to time determine for:
(i) the payment of the purchase price of pioneer articles
acquired by The Metropolitan Toronto and Region Con-
servation Authority,
(ii) the payment of costs of acquisition of such articles
including the payment of commissions, the costs of
transporting, cleaning, repairing, restoring and moving
such articles and all costs incidental thereto, and
(iii) educational work in all phases of conservation,
(iv) research on conservation projects
(v) purchase of lands and buildings or structures with a
conservation use.
5. To enter into and carry out agreements, contracts and under-
takings;
6. To draw, make, accept, endorse, execute and issue cheques,
promissory notes, bills of exchange and other negotiable or
transferable instruments;
7. To acquire by purchase, lease or otherwise any real property
necessary for the carrying on of its objects;
$. To demand, receive, sue for the recovery and compel the pay-
ment of all sums of money that become due and payable to the
Corporation and generally to sue and be sued;
9. To employ and pay such assistants, clerks, agents, represent-
atives and employees and to procure, equip and maintain such
office and other facilities and to incur such operation
expenses as may be considered necessary; and
10. To pay any costs and expenses of or incidental to the incor-
poration and organization of the Corporation;
THE HEAD OFFICE of the Corporation to be situated at the said
Township of North York; and
THE FIRST DIRECTORS of the Corporation to be mentioned;
AND IT IS HEREBY ORDAINED AND DECLARED that the Corporation shall
be carried on without the purpose of gain for its members and any
profits or other accretions to the Corporation shall be used in

promoting its objects;
AND IT IS HEREBY FURTHER ORDAINED AND DECLEARED that in the event of
dissolution of the Corporation and after the payment of all debts
and liabilities the remaining property of the Corporation shall be
distributed or disposed of to The Metropolitan Toronto and Region
Conservation Authority;
AND IT IS HEREBY FURTHER ORDAINED AND DECLARED that the Corporation
shall be carried on exclusively for the objects herein applied for
and none other.
AND IT IS HEREBY FURTHER ORDAINED AND DECLARED that no member of
the Corporation, whether or not he shall also be a director,
officer or employee of the Corporation, shall be entitled to
receive from the Corporation any remuneration or compensation, save
and except repayment of reasonable out -of- pocket expenses incurred
by him in the performance of duties undertaken at the request of
the Corporation;
AND IT IS HEREBY FURTHER ORDAINED AND DECLARED that the number of
members of the Corporati on shall be limited to all of whom shall
be recommended by the Executive Committee and approved by the
Metropolitan Toronto and Region Conservation Authority and such
appointment shall be for a period of three years subject to
reappointment for a further three -year term;
AND IT IS HEREBY FURTHER ORDAINED AND DECLARED that the affairs of
the Corporation shall be managed by a board of five (5) directors
to be known as the board of trustees;
AND IT IS HEREBY FURTHER ORDAINED ANDIECLARED that subject to the
provisions of the Charitable Gifts Act or of any other stature or
regulations passed thereunder in that behalf for the time being in
force and except to the extent that any special conditions attach-
ing thereto may otherwise provide all gifts, donations, bequests
and subscriptions received by the Corporation shall be deemed to
be capital.

A By -law relating generally to the affairs of
METROPOLITAN TORONTO AND REGION CONSERVATION
FOUNDATI ON
BE IT ENACTED AS a by -law of METROPOLITAN TORONTO
AND REGION CONSERVATION FOUNDATION ( lreinafter referred tc
as the "Fou ndationil) as follows
HEAD OFFICE
1. The Head Office of the Foundation shall be in the
Township of North York, in the County of York, in the
Province of Ontario.
SEAL
2. The corporate seal of the Foundation shall be in the
form impressed hereon.
MEMBERS
Members 3. The first members of the Foundation shall be the
applicants for incorporation. The number of members of
the Foundation shall be limited to fifteen, all of whom
shall be recommended by the Executive and appointed by
the METROPOLITAN TORONTO AND REGION CONSERVATION AUTHORITY
and shall hold office for three years from the date of
their appointment. At the end of the three -year term,
such members shall be eligible for reappointment.
RESIGNATION
4. Members may resign by written resignation which shall
be effective upon acceptance thereof by the Board, but
nothing shall be returned in respect of donations made
by them.

Annual 5. The annual meeting of the members shall be held at

by the Board or the persons calling the meeting. The
phrase "meeting of members? wherever it occurs in this
By -Law shall mean and include an annual meeting of members

Notices 7. No public or other advertisement of any meeting of
members shall be required, but notice of the time and
place of each such meeting shall be given not less than
ten days before the day on which the meeting is to be
held to the auditor of the Foundation and to each
member of record at the close of business on the
day on which the notice is given. Notice of a special
meeting of members shall state the general nature of the
business which is to be transacted at it. A meeting of
all the members may be held at any time without notice
if all the members entitled to vote thereat are present
in person or represented by proxy or those not so present
or represented by proxy have waived notice and if the
auditor is present or has waived such notice, and at such
meeting any business may be transacted which the Foundatior
at an annual or special meeting of the members may transact

11. The affairs of the Foundation shall be managed by its
Board of Trustees. Until changed in accordance with The
Corporations Act, the number of the Trustees of the
Foundation shall be five, the majority of whom shall be

for the transaction of business at any meeting of the
Trustees. Notwithstanding vacancies, the remaining
Trustees may exercise all the powers of the Board so

Vacancies. 14. Notwithstanding vacancies, the remaining Trustees may
exercise all the powers of the Board so long as a quorum o
the Board remains in office. Vacancies in the Board may be
filled for the remainder of its term of office from among
the qualified members of the Foundation, either by the
members at a general meeting called for the purpose or by
the remaining Trustees if constituting a quorum. If the
number of Trustees is increased a vacancy or vacancies in
the Board to the number of the authorized increase shall
thereby be deemed to have occurred which may be filled in
the manner above provided.
Calling 15. Meetings of the Board shall be held from time to time
of
Meetings at such place in Metropolitan Toronto, at such time and on
such day as the Chairman or Vice - Chairman or any two
Trustees may determine, and the Secretary shall call meet-
ings when directed or authorized by. the Chairman or by a
Vice - Chairman or by any two Trustees. Notice of every
meeting so called shall be given to each Trustee not less
than twenty -four hours (excluding any part of a Sunday and
of a holiday as defined by the Interpretation Act of
Canada for the time being in force) before the time when
the meeting is to be held, save that no .notice of a meeting
shall be necessary if all the Trustees are present or if
those absent have waived notice of or otherwise signified
their consent to the holding of such meeting.
Regular 16. The Board may appoint a day ar days in any month or

sent to each Trustee forthwith after being passed, but no

error of judgment or oversight on his part, or for any
other loss, damage or misfortune whatever which shall
happen in the execution of the duties of his office or
in relation thereto unless the same shall happen
through his own dishonesty.
Indemnity 20. Every trustee or officer of the Foundation and his

ees and heirs, executors, and administrators, and estate and

times, be indemnified and saved harmless out of the funds
of the Foundation from and against:
(a) all costs, charges and expenses whatsoever which
such trustee or officer sustains or incurs in or about

commenced or prosecuted against him, for or in respect
' of any act, deed, matter or thing whatsoever made, done
or permitted by him, in or about the execution of the
duties of his office;
(b) all other costs, charges and expenses which he
sustains or incurs in or about or in relation to the
affairs thereof, except such costs, charges or expenses
as are occasioned by his own wilful neglect or default.
OFFICERS
21. At the first meeting of the Board after each election
of Trustees the Board shall elect from among its members
a Chairman and one or move Vice - Chairmen. In deafult
of such election the then incumbents, if members of the
Bca rd, shall hold office until their successors are
elected. A vacancy occurring from time to time in such
office may be filled by the Board from among its members.
22. From time to time, the Board shall appoint a
Secretary and may appoint a Treasurer, and such other
officers as the Board may determine including one or more
assistants to any of the officers so appointed. The
officers so appointed may but need not be members of the
Board. One person may hold more than one office, and if
the same person holds both the office of Secretary and
the office of Treasurer, he may be known as the Secretary
Treasurer.
23. The Board may remove at its pleasure any officer of
the Foundation. No member of the Foundation except the
Secretary, Treasurer, or Secretary Treasurer, whether or
not he shall also be a director, officer or employee of
the Foundation, shall be entitled to receive
Foundation any remuneration or compensation,
except repayment of reasonable out -of- pocket
incurred by him in the performance of duties
at the request of the Foundation.

meetings of the members and of the Board and shall be
charged with the general supervision of the affairs of
the Foundation.
25. During the absence or inability of the Chairman
his duties may be performed and his powers may be exer-
cised by the Vice - Chairman, or if there are more than one,
by the Vice - Chairmen in order of seniority (as determined
by the Board). If a Vice - Chairman exercises any such duty
or power, the absence or inability of the Chairman shall
be presumed with reforence thereto A Vice - Chairman -shall
also perform .Duch duties and exercise such powers as the
Chairman may from time to time delegate to him or the
Board may prescribe.
26. The Secretary shall give, or cause to be given, all
notices required to be given to members, Trustees, auditors
and members of committees; he shall attend all meetings of
the Trustees and of the members and shall enter or cause
tobe entered in books kept for that purpose minutes of all
proceedings at such meetings; he shall be the custodian of
the stamp or mechanical device generally used for affix-
ing the corporatd seal of the Foundation and of all books,
papers, records, documents and other instruments belonging
to the Foundation; he shall carry out the management of
the affairs of the Foundation subject to the authority
of the Board and under the direction and supervision of
the Chairman; and he shall perform the duties of the
Treasurer, if one is not appointed, and such other duties
as may from time to time be prescribed by the Board.
27. The Treasurer shall keep full and accurate books
of account in which shall be recorded all receipts and
disbursements of the Foundation and, under the direction
of the Board, shall control the deposit of money, the
safe-keeping of securities and the disbursement of the
funds of U o Foundation; he shall render to the Board
at the meetings thereof, or whenever required of him, an

account of all his transactions as Treasurer and of the
financial position of the Foundation; and he shall perform
such other duties as may from time to time be prescribed
by the Board.
28. The Board may require such officers, employees and
agents of the Foundation as the Board deems advisable
to furnish bonds for the faithful discharge of their duties
in such form and such surety as the Board may from time
to time prescribe.
BANKING ARRANGEMENTS. CONTRxCTS. etc.
29. The banking business of the Foundation, or any part
thereof, shall be transacted with such chartered bank
of Canada, trust company or other firm or corporation
carrying on a banking business as the Board may designate
appoint or authorize from time to time by resolution and
all such banking business, or any part thereof, shall be
transacted on the Foundation's behalf by such one or more
officers and /or other persons as the Board may designate,
direct or authorize from time to time by resolution
and to the extent therein provided, including, but without
restricting the generality of the foregoing, the operation
of the Foundation's accounts; the making, signing, drawing,
accepting, endorsing, negotiating, lodging, depositing and
transferring of any cheques, promissory notes, drafts,
acceptance, bills of exchange, and orders for the payment
of money; the giving of receipts for and orders relating
to any property of the Foundation; the execution of any
agreement relating to any such banking business and
defining the rights and powers of the parties thereto; and
the authorizing of any officer of such banker to do any
act or thing on the Foundation's behalf to facilitiate
such banking business.
30. Subject to the restrictions set forth in the Letters
Patent issued to the Foundation, the Chairman or a Vice -
Chairman or a Trustee acting with the Secretary or the

Treasurer or an Assistant Secretary or an Assistant
Treasurer or another Trustee are authorized and empowered
to sell, assign and transfer shares, bonds, stocks, debent-
ures, debenture stocks and other securities on behalf
of the Foundation with full power to appoint an attorney
or attorneys (with full power of substitution) for the
purpose of completing any such sale, transfer, assignment
or acceptance on the records.
31. Deeds, transfers, assignments, contracts and obligat-
ions on behalf of the Foundation may be signed by the
Chairman or a Vice - Chairman or a Trustee and by the Secret-
ary or the Treasurer or an Assistant Secretary or an
Assistant Treasurer or another Trustee, and the corporate
seal shall be affixed to such instruments as require
the same.
Notwithstanding any provisions to the contrary contained
in the By -laws of the Foundation, the Board may at any
time and from time to time direct the manner in which
and the person or persons by whom any particular deed,
transfer, contract or obligation or any class of deed,
transfers, contracts or obligations of the Foundation may
or shall be signed.
FINANCIAL
32. Until otherwise ordered by the Board, the financial
year of the Foundation shall end on the 30th day of June,
in each year.
NOTICES
33. Any notice, communication or other document to be
given by the Foundation to a member, Trustee, officer or
auditor of the Foundation by law or under any provision
of the letters patent of By -laws of the Foundation, shall
be sufficiently given if delivered personally to the
person to whom it is to be given or if delivered to his
last address as recorded on the books of the Foundation
or if mailed by prepaid ordinary or air mail in a sealed

envelope addressed to him at his last address as recorded
in the books of the Foundation or if sent by any means of
wire or wireless or any other form of transmitted or
recorded communication. The Secretary may change the
address on the books of the Foundation of any member in
accordance with any information believed by him to be
reliable. A notice, communication or document so deliver-
ed shall be deemed to have been given when it is delivered
personally or at the address aforesaid and a notice,
communication or document so mailed shall be deemed
to have been given when deposited in a post office, or a
public letter box; and a notice sent by any means of wire
or wireless or any other form of transmitted or recorded
communication shall be deemed to have been given when de-
livered to the appropriate communication company or agency
or its representative for despatch.
34. In computing the date when notice must be given by
law or under any provision of the Letters Patent or by -laws
requiring a specified number of days' notice of any meet-
ing or other event, the date of giving the notice and the
date of the meeting or other event shall be excluded.
35. The accidental omission to give any notice to any
member, trustee, officer, or auditor or the non - receipt
of any notice by any member, trustee, officer or auditor
or any error in any notice not affecting the substance
thereof shall not invalidate any action taken at any
meeting held pursuant to such notice or otherwise founded
thereon.
36. Any member, trustee, officer or auditor may waive
any notice required to be given under any provision of
the Letters Patent or by -laws of the Foundation or of
the Corporations Act, and such waiver, whether given be-
fore or after the meeting or other event of which notice
is required to be given, shall cure any default in giving
such notice.

37, In this By -Law and all other by -laws of the Foundation
words importing the singular number only shall include the
plural and vice versa; words importing the masculine
gender include the feminine and neuter genders; words
importing such persons shall include companies, corporat-
ions, partner -ships and any number of aggregate of persons;
°Board" shall mean Board of Trustees of the Foundation;
"Letters Patents? shall include supplementary letters
patent; The Corporations Acc" shall mean the Corporations
Act, R.S.O. 1960, Chapter 719 (Ontario) as amended

3. 1961 GENERAL BUDGET & MUNICIPAL LEVY:
The action of the Executive in reducing the Budget of
the Authority in the amount of $32,491.00 and accord -
ingly reducing the Municipal Levy in the sum of
$16,245.92 be approved; and further that the 1961
Amended Municipal Levy and Current Budget Summary as
attached as Schedule 'B7' of Executive Meeting No. 4
of March 29th, 1961, be confirmed.
FLOOD AND POLLUTION CONTROL:
4. PROPOSED ENGINEERING STUDY -- HIGHLAND CREEK --
MORNINGSIDE DRIVE TO SCARBORO GOLF CLUB:
The firm of Crysler, Davis and Jorgenson be retained
to undertake an engineering study in Highland Creek
Valley from Morningside Drive to Scarboro Golf Club;
and further in this connection, that the following
action be taken:
(a) that the Municipality of Metropolitan Toronto
be designated as the benefitting Municipality;
(b) that the Minister of Commerce and Development
be requested to approve of the engineering study
and a grant of 50% of the cost thereof;
(c) that a copy of the proposal be forwarded to the
Municipality of Metropolitan Toronto and that
no action be taken until such time as it is accer
ed and approved by the said Municipality;
(d) that when approved; the appropriate Authority
officials be authorized and directed to take
whatever action is required in connection with
the carrying out of this engineering study.
5. REPORT ON FLOOD PROTECTION -- VILLAGE OF STOUFFVILLE:
(a) that the report of R. K. Kilborn & Associates
be adopted in principle and that copies of the
report be made available to the Corporation of
the Village of Stouffville and the Metropolitan
Toronto Planning Board;
(b) Scheme II as outlined in the report be adopted;
(c) if the Authority is requested to undertake any
part of the works contained in the report as a
Scheme that the Authority include in the Scheme
only those works recommended for the Main Branch
of the Duffin Creek within the bounds of the
proposed annexation area and the east tributary
to College Street, and that all other works
recommended in the report be considered as a
local storm drainage problem and the responsibili
of the Village of Stouffville;
(d) in order to eliminate one structure on the
proposed channelization the Village of Stouffvill
consider the closing of Summerville Street;
(e) the Village of Stouffville consider passing a
by -law prohibiting the development of Flood
Plain Lands within the boundaries of the Village
of Stouffville as proposed in the annexation
plan and as indicated on Plate II of the report
of R. K. Kilborn & Associates dated February 23,
1961.

(f) the Village of Stouffville make immediate
representation to the Ontario Department of High
ways to determine if the Department would consid
the re- building of the culvert located on
Highway 47 (Main Street) to the specifications
as outlined in the Kilborn report and in conjunc
ion with tre present programme of highway
improvements being undertaken by the Department;
in view o" the fact that the Authority has obtai
ed contour plans for a large section of the
Village, that the Village consider the completio
of this work to give it complete mapping coverag
of the entire Village area, including the area
proposed for annexation,

6, FLOOD CONTROL STUDY WEST BRANCH DUFFIN CREEK:
(a) the Authority proceed with the construction of
the Green River dam and reservoir and the acquit
tion of Flood Plain Lands on the West Branch of
the Daffin Creek as proposed in the Plan for Flc
Control and Water Conservation, when funds are
made available for these works;
(b) the Corporation of the Township of Pickering be
requested to pass a by -law prohibiting the
construction of buildings on lands subject to
flooding and indicated on the flood line maps
prepared by the Authority;
(c) the Whitevale and Altona reservoir sites be
acquired when funds are made available;
(d) the Conservation Areas Advisory Board be request
to investigate the proposed Whitevale -Dixie
Conservation Area for possible acquisition when
funds are made available;
(e) the Technical Staff of the Authority advise land
owners throughout the length of the West Branch
of the Duffin Creek on methods for the control
of stream bank erosion; and further that if the
Conservation Authority acquires flood plain and
conservation lands in the West Branch of the
Duffin Creek that a stream bank erosion control
programme be undertaken in accordance with the
present Authority policy;
7. SCHEME W.C.-9 -- FLOOD LINE MAPS - DISTRIBUTION:
(a) the policy for the issuing of Flood Line Maps on
the following basis be confirmed:
, (i) the resale price of Flood Line Maps to
private individuals be (per sheet) $25,00;
(ii) each Municipality be provided with one
set of prints for their respective area at no
charge to the Municipalities;
(iii) any further prints required by the
Municipalities be provided at a resale price of
(per print) $5,00;
(b) the flood Line Maps now be made available to all
Municipalities within the Authority region;
(c) a Staff Report be prepared outlining the

PROPOSED PLAN FOR ACQUISITION OF FLOOD PLAIN LANDS
It gives me great pleauure to be able to record that at 3 p.m. on
April 19, 1961, the Department of Commerce and Development disclosed
in a news release that the Federal and Ontario Governments are ready
to share u to 75% of the cost of flood control works estimated to
amount to 9$24,000,000.
As yet we have only the news release available and must await the final
agreements before the exact details are known.
The steps of implementation in the next four weeks will be:
(1) An agreement will be signed between the Government of Canada
and the Government of Ontario.
(2) An agreement will be signed between the Government of Ontario
and the Metropolitan Toronto and Region Conservation Authority.
The date set for this joint signing ceremony is June 14, 1961, in
the City of Toronto.
From our present study it would appear that the $24,000,000 scheme
just approved will involve the following:

One significant paragraph in the Ontario Government news release
stated:
7'The Agreement would require the acquisition or zoning
of flood -plain lands as indicated in the plan, to be

used for flood control and recreational purposes.
Expenditures involved in this will be met from sources
other than the Federal Government."
You will agree tia we cannot give you a complete plan as to how it is
proposed to carry out all of the work, but something along the follow
ing lines would seem to be practicable:
(1) The Authority ask the municipalities to contribute the
amounts which they have already pledged for the $34,000,000
scheme.
This would result in a surplus over the
$24,000,000 plan in 10 years of $ 2,500,000
Reguest the Government of Ontario to
participate up to 50% ill this plan 2,500,000
$ 5,000,000
(2) Request the municipalities and the Government of Ontario to
extend the plan from 10 to 14 years and participate at the
10 year rate for the additional 4 years.

Municipalities;
Therefore, Be It Resolved That:- all Member
Municipalities be notified of the amount of such
monies they are required to raise;
And, Be It Further Resolved That:- the Secretary -
Treasurer be instructed to advise all Municipalities

And, Whereas the 1961 Project Schedule calls for
an expenditure of $1,245,000.00 for works to be
carried out on the Black Creek;
Be It Therefore Resolved That:- the Municipality
of Metropolitan Toronto be designated as the
Benefitting Municipality for the Black Creek Flood
Control Works and be so notified;
And, Be It Further Resolved That:- the Secretary -
Treasurer be instructed to advise the said Municipality
of Metropolitan Toronto, that pursuant to Section 3$
of The Conservation Authorities Act, the following
monies will be required in 1961 for the Black Creek
works:

THIS AGREEMENT made in duplicate this Fourteenth (14th) day of
June, 1961.
BETWEEN
AND
THE GOVERNMENT OF THE PROVINCE
OF ONTARIO, hereinafter called
"the Province"
OF THE FIRST PART
THE METROPOLITAN TORONTO AND
REGION CONSERVATION AUTHORITY,
hereinafter called "The
Authority"
OF THE SECOND PART
WHEREAS the parties hereto consider that the construction of the
dams, reservoirs and channel improvements in the Metropolitan Toronto
region described in the plan for flood control and water conservation
submitted by the Metropolitan Toronto and Region Conservation Authority
in its ''Brief on flood control and water conservation" dated at
Woodbridge, Ontario, 195$, being Exhibit "CS' attached hereto, are
necessary in the public interest for the purpose of flood control and
water conservation;
WHEREAS the parties hereto have agreed that the Authority will
undertake the construction of the said dams, reservoirs and channel
improvements with the intention of completing them within ten years
from the date of this Agreement;
WHEREAS the parties hereto have agreed that the Province will
contribute to the cost of the said construction upon the terms hereinaft:
provided;
WHEREAS it is estimated by the Authority that the total cost of
the said construction will be $24,000,000.00 not including the cost
of the construction already carried out on Black Creek;
WHEREAS His Honour the Lieutenant Governor in Council by Order
in Council O.C. 2267/61 dated June 1, 1961 has authorized the Minister
of Commerce and Development under the terms of the Conservation Auth-
orities Act to execute this Agreement on behalf of the Province;
AND WHEREAS the Authority by Resolution dated the 14th day of
June 1961, has authorized the Chairman of the Authority to execute
this Agreement on behalf of the Authority.
NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration
of the premises, covenants and agreements herein contained, the parties
covenant and agree as follows:
1. (1) This Agreement is to be read and construed with due reference
to the provisions of the Agreement between the Government of Canada
and the Province for the construction of Dams, Reservoirs and Channel
Improvements in the Metronolitan Toronto region bearing date of the
Fourteenth (14th) day of June, 1961, a copy of which is attached hereto
marked Exhibit "Ao.
(2) In this Agreement,
(a) "Federal Minister" means the Minister of
Northern Affairs and National Resources of
Canada;
(b) '1Provincial Minister" means the Minister of
Commerce and Development of the Province of
Ontario;
(c) "Authority" means the Metropolitan Toronto
and Region Conservation Authority;

(d) "Metropolitan Toronto region" means the area
included in the drainage basins of the Humber,
Don and Rouge Rivers, and Etobicoke, Mimico,
Duffin, Highland and Petticoat Creeks;
(e) "dam" means a structure and appurtenances
constructed to impound, control and other-
wise regulate streamflow, and includes a
reservoir;
(f)
(g)
"reservoir" means the body of water created
by the construction of a dam including the
acquisition of lands flooded thereby and
lands required to furnish access thereto
and all dykes, bridges, roads and other
structures constructed or altered by
reason of the creation of such body of
water; and
"works" means all preparation made, work
done and the acquisition of all materials,
equipment, properties and easements necessary
(i) to build and complete the following
dams or such equivalent dams in the
Metropolitan Toronto region as shall
be approved by the 'Federal Minister
and the Provincial Minister;
Claireville Dam on the West Branch of the
Humber River;
Ebenezer Dam on the West Branch of the Humber
River;
Lower Bolton Dam on the Main Branch of the
Humber River;
Nashville Dam on the Main Branch of the Humber
River;
King Creek Dam on the East Branch of the Humber
River;
Lower East Branch Dam on the East Branch of the
Humber River;
Haviland "Ellerslie" Dam on the West Branch of the
Don River;
Finch Dam on the West Branch of the Don River;
Westminister Dam on the West Branch of the Don
River; and
Willowdale Dam on the East Branch of the Don River;
and
(ii) for the straightening, widening deepening
and concrete or riprap lining, or both, of
Black Creek, of the Humber River at Woodbridge
and Weston and the Don River at York Mills,
for the purpose of confining streamflow;
and includes the acquisition of lands for
access roads the construction or alteration
of all dykes, bridges, roads, railway works
and other structures necessary for compliance
with subparagraphs (i) and (ii) and such
display signs as may be required by the Federal
Minister and the Provincial Minister.
2. (1) The Authority will carry out the works in accordance with
the plans and specifications which shall be approved by the Federal
Minister and the Provincial Minister.
(2) Except as otherwise provided in this section, any contracts
for the works shall be awarded by the Authority to persons tendering

pursuant to an invitation therefor made by public advertisement.
(3) Where the estimated cost of any part of the works not covered
by the main contract or contracts is less than $25,000.00 the Authority
may, with the prior consent of the Federal Minister and the Provincial
Minister, award a contract for that part of the works pursuant to
tenders invited from not less than two persons designated by the Federa
Minister and the Provincial Minister.
(4) Where the Federal Minister and the Provincial Minister are
of the opinion that it is, for reasons of economy or efficiency,
expedient that any item of the works should be performed by day labour,
the Authority with the prior consent of the Federal Minister and the
Provincial Minister may undertake that item by day labour employed
by the Authority.
3. (1) The Authority will cause the works to be completed within
ten years from the date of this agreement but the Federal Minister
and the Provincial Minister may at their discretion extend the tiuo
for the completion of the works.
(2) Should the performance of the works be delayed by reason
of any delay occasioned by the Federal Minister or the Provincial
Minister, or by flood, fire, lightning, earthquake, cyclone, strike
or act of God, or by any other cause which is beyond the control of
the Authority and of the contractors to whom a contract is awarded,
the time herein fixed for the completion of the works shall be extended
for a period equivalent to the time lost by reason of such delay.
4. Subject to the funds being voted by the Parliament of Canada
and by the Legislature of Ontario, and to the terms and conditions
of the Agreement with the Government of Canada and this Agreement, the
Province will reimburse the Authority to the extent of 75 per cent
of the cost of the works but the total contribution of the Province
shall not in any event exceed $1$,000,000.
5. Notwithstanding anything in this agreement, the Province will
not make any payments in respect of a contract mentioned in section 2
unless:
(a) the Consulting Engineers engaged by the Authority
to prepare plans, specifications and tender forms
and to supervise the work were approved by the
Provincial Minister;
(b) before tenders were invited the form of advertisement
for tenders, tie tender forms and the specifications,
plans and profiles and the proposed terms of that contract
were approved in writing by the Federal Minister and
the Provincial Minister;
(c) that the contract has been awarded pursuant to tenders
invited in the manner provided in section 2;
(d) at the time when that contract was entered into the
contractor was a resident of Canada, or, if the contractor
is a corporation, it was for a period of at least
one year immediately prior to that time incorporated
and carrying on business in Canada;
(e) the construction to be performed under that contract is
to be paid for either at a lump sum price or unit
prices or both;
(f) it is a term of that contract that the contractor
and any subcontractor of the contractor.
(i) in respect of the work to be carried out under
that contract. will employ only residents of Canada; and
(g)

(ii) in the hiring and employment of labour for the
execution of that contract will not refuse to employ
or otherwise discriminate against any person in
regard to employment because of that person's
race, national origin, colour, religion, or political
affiliation, nor because that person has made a
complaint or given information with respect to an
alleged failure to comply with the provisions of
this subparagraph;
entry into that contract was agreed to in writing by the
Federal Minister and the Provincial Minister before it was
entered into; and
(h) the Authority, its Deputy or a person authorized by the
Authority in writing, has certified and the Provincial
Minister is satisfied that the work in respect of which
the payment is to be made has been completed in accordance
with that contract.
6. (1) Subject to this Agreement, the cost of the works shall be
the amount determined as the aggregate of the expenditures, incurred
by the Authority in the following classes;
(a) payments pursuant to contracts for the works entered into
by the Authority with other persons in accordance with
section 2;
(b) payments in respect of construction materials purchased by
the Authority that are necessary for and used in the works,
to the extent that the cost thereof incurred by the Authority
did not exceed the aggregate of the current market price
of those materials prevailing in the locality where and
at the time when the Authority acquired them and the actual
cost to the Authority of delivering those materials to the
site of construction;
(c) payments in respect of wages and salaries of members of
staff employed by the Authority exclusively to carry out
the works while exclusively engaged in carrying out the works
and, in addition, their necessary transportation and
living expenses while engaged in field operations exclusively
for the purpose of carrying out the works;
(d) payments in respect of the removal and relocation of
obstructions such as power, telephone and telegraph lines,
public utilities and other services, railway works,
roads, bridges, buildings, trees, brush, debris and the
like that was necessarily incidental to the works;
(e) payments by the Authority for the purchase of lands,
buildings and flood easements which may be required for the
works;
(f)
(g)
payments in respect of the restoration and repair of real
property destroyed or damaged in the course of the works,
and in respect of the construction of walls or other structure
necessary for the protection of the works or adjacent
property;
payments in respect of the inspection and testing of materials
used in the works, if in the opinion of the Federal Minister
and the Provincial Minister the inspection and tests are
necessary and were not required in connection with any
other use; and
(h) payments in respect of any work carried out by the Authority
by day labour in accordance with section 2;

(2) Notwithstanding anything in this section, where in the
opinion of the Federal Minister and the Provincial Minister
(a) the accounts and other information furnished by the Authority
are insufficient for the purpose of determining the true
expenditures by the Authority in respect of the works; or
(b) the expenditures by the Authority in respect of the works,
by. comparison with market costs prevailing when the works
were undertaken, are excessive;
the Federal Minister and /or the Provincial Minister shall cause an
appraisal to be made of the cost of the works in question at the time
when the works were undertaken and that appraisal shall form the basis
of the determination of the cost of the works.
7. Notwithstanding anything in this Agreement, the cost of the works
shall not include expenditures by the Authority in respect of
(a) construction carried out on Black Creek prior to the date
of signing of this Agreement;
(b) the administration costs of the Authority other than such
additional cost which may be occasioned by the works;
(c) wages, salaries and expenses of officers or servants of the
Authority except those provided for in section 6;
(d) fencing the works, except the relocation of fences which
have been removed and fences required as a safety measure;
(e) the construction of the works to the extent that, in the
judgment of the Federal Minister and /or the Provincial
Minister pursuant to the appraisal provided for in
subsection (2) of section 6, such expenditures were excessive
(f) the installation of additional, or improvement of any
water works, sewers, electrical conduits or other public
utilities; and
(g) any matter, to the extent that the Authority is reimbursed
from any source other than under this Agreement in respect
of that matter.
£3. (1) The Authority will, before the 10th day of each calendar
month, submit to the Provincial Minister a statement claiming payment
on account of the cost of the works incurred by it during the preceding
calendar month.
(2) Each of such claims shall be for 75 per cent of the cost of
the works as detailed in subsection (1) of section 6 and shall be in
such form and accompanied by such proof and certification as may be
required by the Provincial Minister, the Provincial Treasurer or
persons authorized by either of them, but no claim shall be included
in a statement in respect of any item of the works that has not receive(
the prior approval of the Federal Minister and the Provincial Minister.
9. (1) When the Provincial Minister receives a claim for payment
in accordance with section $, the Province will make a payment to the
Authority not exceeding the amount claimed, subject to subsection (2)
of this section, and subject to certification by a representative of
the Provincial Minister that the works in respect of which the claim
has been submitted have been satisfactorily performed.
(2) From the amounts payable to the Authority pursuant to
subsection (1) of this section the Provincial Minister may cause to
be held back until completion of the works to his satisfaction an
amount not exceeding ten per,gpent of the amount payable in respect of
each item of cunt for which a claim is made.

10. (1) When the Provincial Minister is satisfied that the works
have been completed in accordance with this Agreement, the Province
will pay to the Authority the balance of the amount payable in respect
of the cost of the works for which a claim has been made by the Authorii
(2) When the Province has paid to the Authority an amount equal
to the lesser of
(a) 372 per cent of the cost of the works, or
(b) $9,000,000.00,
then the Provinces financial obligations under this Agreement shall
cease.
(3) If the Province pays to the Authority an amount that exceeds
the amount payable pursuant to this agreement, the Authority will
refund the excess, and the Province may, in addition to any other re-
course, recover any such amount from amounts payable by the Province
to the Authority on any account.
11. Notwithstanding anything in this Agreement, no claim for payment
in respect of the cost of the works may be made by the Authority
after one year has elapsed from the completion of the works.
12. (1) The Authority will maintain full records of all expenditures
relating to the cost of the works together with all proper documents
and vouchers relating thereto and will make such records, documents
and vouchers available to the Federal Minister, the Provincial Minister
and the Provincial Auditor of Ontario or persons authorized by them
for examination and audit, and will give to the Federal Minister, the
Provincial Auditor of Ontario or persons authorized by them all reason-
able assistance, in such examination and audit.
(2) The Authority will keep intact, for a period of five years
from the date of the completion of the works, all records, documents
and vouchers specified in subsection (1) of this section.
13. (1) The Federal Minister and the Provincial Minister may appoint
representatives to report on all phases of construction of the works
and they may make any inspections, enquiries and tests that they
consider necessary to assist them in reporting on construction and
determining the cost of the works, and may discuss with the appropriate
representatives of the Authority any matter concerning the completion
of the works in accordance with this Agreement.
(2) Where, in order to give effect to this Agreement, the
Federal Minister and /or the Provincial Minister considers it necessary
to inspect or appraise any lands or works, the Federal Minister and /or
the Provincial Minister may cause such inspections and appraisals to
be made as deemed advisable and the Authority will afford the Federal
Minister and /or the Provincial Minister or their representatives every
facility for the purpose.
(3) The approval of the Provincial Minister of any engineering
or construction matter involving the expenditure of Provincial funds
under this Agreement shall be a condition precedent to such expenditure,
of Provincial funds by the Province.
14. This Agreement shall not be construed so as to vest in the
Province any proprietary interest in the .proposed dams, channel
improvements, flood plain lands or any other works.
15. The Authority will indemnify and save harmless the Province againsi
all actions, suits, claims, demands, costs and expenses whatsoever
in respect of any accident, injury or damage sustained in connection
with or arising out of the execution of this Agreement or any of the
matters connected therewith.

16. The Authority will arrange that the dams and channel improvements
be maintained in proper order at all times.
(1) The Authority agrees that no flood plain lands or lands re-
quired for the completion of the dams, reservoirs and channel improve-
ments included in this Agreement shall be acquired without the prior
approval of the Provincial Minister or his representative.
(2) The Authority shall complete a land -use Agreement with the
Province, a copy of which is attached hereto marked Exhibit "B ".
17. Payment of contributions by the Province under this Agreement are
hereby excepted from the operation of section 5 of the Fair Wages
and Hours of Labour Act, and the Authority will ensure that all persons
employed in the construction of the works are paid fair wages and that
the hours of work to be observed shall be those from time to time
determined by the Authority and shall be generally those covering simila
work undertaken by the Authority in the district.
1$. (1) The Authority will, without delay, pursuant to the said "Brief
on flood control and water conservation" Exhibit s'C" attached hereto,
acquire or ensure the zoning of the flood plain lands for use in perpet-
uity for flood and recreational purposes only.
(2) When the Province has paid to the Authority an amount equal
to the lesser of
(a) 50% of the cost of acquiring these lands, or
(b) $6,150,000.00
then the Province's financial obligations with respect to the cost of
such acquisition shall cease.
19. (1) The Authority will, within ten years from the date of this
Agreement, pursuant to the said "Brief for flood control and water
conservation' Exhibit "C" attached hereto construct the following
dams or such equivalent dams in the Metropolitan Toronto region as
shall be approved by the Federal Minister, and the Provincial Minister;
Snelgrove Dam on Etobicoke Creek
Milne Dam on Rouge River
Audley Dam on Duffin Creek
Green River Dam on Duffin Creek
West Hill Dam on Highland Creek
(2) When the Province has paid to the Authority an amount equal
to the lesser of
(a) 50% of the cost of these works, or
(b) $1,300,000.00
then the Province's financial obligations with respect to the cost
of these works shall cease.

the .1st day of September, 1961, a programme for ancillary conservation
measures in the Metropolitan Toronto region, and a time schedule
according to which the work will be carried out.
(2) Such programme shall include
(a) .Reforestation in accordance with sound forest
conservation practices exclusive of planting by
private land owners and any reforestation completed
to date, and shall indicate as closely as possible
the specific areas to be reforested, the methods of
reforestation to be employed, and the tree species

which it is intended to use.
(b) The location, size and number of recreational
areas to be developed on land acquired for projects
set forth in the "Plan for flood control and water
conservations ?, as shown in Exhibit 4C4 attached
hereto.
(c) The location, size and number of overnight campsites
and the accommodation to be provided in each, which
the Authority proposes to build on lands acquired for
projects set forth in the "Plan for flood control
and water conservation'', as shown in Exhibit "C:s
attached hereto.
(3) On receipt of the approval of such programme by the Federal
Minister and the Provincial Minister the Authority will complete or
have completed the work called for therein in a manner satisfactory
to the Federal Minister and the Provincial Minister before the 31st
day of December 1981, or such later date as the Federal Minister and
the Provincial Minister may determine.
(4) Any change which the Authority may desire to make in the
programme submitted in accordance with subsection (1) hereof shall
be submitted to the Provincial Minister for approval.
21. (1) The Authority will submit to the Provincial Minister for
approval within six months of the signing of this Agreement;
(a) a programme for the control and operation of the
dams and reservoirs in the Metropolitan Toronto
region under routine and emergency conditions, and
(b) a programme for the establishment and maintenance
of hydrometric and recording rain gauges in the
Metropolitan Toronto region.
(2) After receiving the approval of such programmes by the
Federal Minister and the Provincial Minister, the Authority will put
into effect such programmes in accordance with the time schedule contain
in tie programmes in a manner satisfactory to the Federal Minister and
the Provincial Minister.
(3) Any changes which the Authority may desire to make in the
programmes submitted under subsection (1) hereof shall be submitted
to the Provincial Minister for approval.
22. The Authority will erect a suitable sign, at the site of each
project to be constructed under this Agreement, of such size and wording
as approved by the Federal Minister and the Provincial Minister.
23. No member of the Legislature of Ontario or the Authority shall
be admitted to any share or part of any contract, agreement or commission
with respect to the works, or to any benefit to arise therefrom.

WHEREAS the parties hereto consider that the construction of the
ca=ts, reservoirs and channel improvements in the Metropolitan Toronto
region described in the plan for flood control and water conservation
submitted by the Metropolitan Toronto and Region Conservation Authority
••. its i7Brief on flood control and water conservation" dated at
Woodbridge, Ontario, 1950, being Exhibit GaAs: attached hereto are
necessary in the public interest for the pupose of flood control and
water conservation and would constitute works of 'a major character;
w ::EREAS the parties hereto have agreed that the Province will
undertake the construction of the said dams, reservoirs and channel
improvements with the intention of completing them within ten years
from the date of this Agreement;
WHEREAS the parties hereto have agreed that Canada will contribute
to the cost of the said construction upon the terms hereinafter provide,
WHEREAS it is estimated by the Province that the total cost of
the said construction will be $24,000,000,00 not including the cost of
the construction already carried out on Black Creek;
WHEREAS .is Excellency the Governor in Council by Order in Council
P.C. 1961/o56 dated June 13, 1961, has authorized the Minister of
Northern Affairs and National Resources under the terms of the Canada
Water Conservation Assistance Act to execute this Agreement on behalf
of
AND WHEREAS His Honour the Lieutenant Governor in Council by Order
in Council 0.0 -, 2267/61 dated June 1, 1961, has authorized the Minister
of Commerce and Development to execute this Agreement on behalf of the
Province.
NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of
the premises, covenants and agreements herein contained, t1B parties
covenant and agree as follows:
1. In this Agreement,
(a) "clam" means a structure and appurtenances constructed to
impound, control and otherwise regulate streamflow, and
includes a reservoir;
"Federal Minister" means the Minister of
and National Resources of Canada;
"local authority" means the Metropolitan
Region Conservation Authority;
"Metropolitan Toronto region" means the area included in
the drainage basins of the Humber, Don and Rouge Rivers,
and Etobicoke, Mimico, Duffin, Highland and Petticoat Creeks;
"Pro-'_ncia1 Minister" means the Minister of Commerce and
Development of the Province of Ontario;
"reservoirss means the body of water created by the construction

of a dam including the acquisition of lands flooded thereby
and lands required to furnish access thereto and all dykes,
bridges, r.:Jads and other structures constructed or altered
by reason of the creation of such body of water; and
"works" means all preparation made, work done and the
acquisition of all materials, equipment, properties and
easements necessary
(i) to build and complete the following dams or such
equivalent dams in the Metropolitan Toronto region
as shall be approved by the Federal Minister:
Claireville Dam on the West Branch of the Humber River;
Ebenezer Dam on the West Branch of the Humber River;
Lower Bolton Dam on the Main Branch of the Humber River;
Nashville Dam on the Main Branch of the Humber River;
King Creek Dam on the East Branch of the Humber River;
Lower East Branch Dam on the East Branch of the Humber
River;
Haviland 4Ellerslier4 Dam on the West Branch of the Don
River;
Finch Dam on the West Branch of the Don River;
Westminister Dam on the West Branch of the Don River;
Willowdale Dom on the East Branch of the Don River; and
(ii) for the straightening, widening, deepening and
concrete or riprap lining, or both, of Black Creek,
of the Humber River at Woodbridge and Weston and the
Don River at York Mills, for the purpose of confi is ,0j
streamflow;
and includes the acquisition of lands for access roads,
the construction or alteration of all dykes, bridges, roads,
railway works and other structures necessary for compliance
with sub - paragraphs (i) and (ii), and such display signs
as may be required by the Federal Minister.
2. (1) The Province will carry out the works in accordance with the
plans and specifications which shall be approved by the Federal Minister
and the Provincial Minister.
(2) Except as otherwise provided in this section, any contracts
for the works shall be awarded by the Province to persons tendering
pursuant to an invitation' therefor made by public advertisement.
(3) Where the estimated cost of any part of the works not covered
by the main contract or contracts is less than $25,000.00 the Province
may, with the prior consent of the Federal Minister, award a contract
for that part of the works pursuant to tenders invited from not less
than two persons designated by the Federal Minister and Provincial
Minister.
(4) Where the Federal Minister and the Provincial Minister are
of the opinion that it is, for reasons of economy or efficiency,
expedient that any item of the works should be performed by day labour,
the Province with the prior consent of the Federal Minister may under-
take that item by day labour employed by the Province.
3. (1) The Province will cause the works to be completed within
ten years from the date of this agreement but the Federal Minister may
at his discretion extend the time for the completion of the works.
(2) Should the performance of the works be delayed by reason
of any delay occasioned by the Federal Minister or by flood, fire,
lightning, earthquake, cyclone, strike or act of Gcd, or by any
other cause which is beyond'the control of the Province and of the
contractors to whom a contract is awarded, the time herein fixed for
the completion of the works shall be extended for a period equivalent

4. • Subject to the funds being voted by Parliament and to the terms
and conditions of this agreement, Canada will reimburse the Province
to the extent of 372 per cent of the cost of the works under the
provisions of the Canada Water Conservation Assistance Act, but the
total contribution of Canada shall not in any event exceed 439,000,000.
5. Notwithstanding anything ins this agreement, Canada will not
make any payments in respect of a contract mentioned in section 2 unles,
(a) before tenders were invited the form of advertisement
for tenders, the tender forms and the specifications, plans
and profiles and the proposed terms of that contract were
approved in writing by the Federal Minister;
(b) that contract has been awarded pursuant to tenders invited
in the manner provided in section 2;
(c) at the time when that contract was entered into the contractor
was a resident of Canada or, if the contractor is a corporatic
it was for a period of at least one year immediately prior
to that time incorporated and carrying out business in Canada;
(d) the construction to be performed under that contract is to
be paid for either at a lump sum price or unit prices or
both;
(e) it is a term of that contract that the contractor and any
subcontractor of the contractor
(i) in respect of the work to be carried out under that
contract will employ only residents of Canada; and
(ii) in the hiring and employment of labour for the execution
of that contract will nct refuse to employ or otherwise
discriminate against any person in regard to employment
because of that personvs race, national origin, colour,
religion, or political affiliation, nor because that
person has made a complaint or given information with
respect to an alleged failure to comply with the
provisions of this subparagraph;
(f) entry into that contract was agreed to in writing by the
Federal Minister before it was entered into, and
the Provincial Minister, his Deputy or a person authorized
by the Provincial Minister in writing, has certified and
the Federal Minister is satisfied that the work in respect
of which the payment is to be made has been completed in
accordance with that contract.
6. (1) Subject to this agreement, the cost of the works shall be the
amount determined as the aggregate of the expenditures, incurred by
the Province in the following classes:
(a) payments pursuant to contracts for the works entered into
by the Province with other persons in accordance with
sectio:i 2;
(b) paymen;s in respect of construction materials purchased
by the Province that are necessary for and used in the
works•' to the extent that the cost thereof incurred by
the Province did not exceed the aggregate of the current
market price of those materials prevailing in the locality
where and at the time when the Province acquired them and
the actual cost to the Province of delivering those
materials to the site of construction;
(c) payments in respect of wages and .salaries of members of
staff employed by the Province or local authority exclusively

to carry out the works while exclusively engaged in carrying
out the works and in addition, their necessary transportation
and living expenses while engaged in field operations exclusiv=
ly for the purpose of carrying out the works;
(d) payments in respect of the removal and relocation of obstruct-
ions such as power, telephone and telegraph lines, public
utilities and other services, railway works, roads, bridges,
buildings, trees, brush, debris and the like that was necessar
ily incidental to the works;
(e) payments by the Province for the purchase of lands, buildings
and flood easements which may be required for the works;
payments in respect to the restoration and repair of real
property destroyed or damaged in the course of the works,
and in respect of the construction of walls or other structure:
necessary for the protection of the works or adjacent
property;
(f)
(g)
payments in respect of the inspection and testing of materials
used in the works, if in the opinion of the Federal Minister,
the inspection and tests are necessary and were not required
in connection with any other use; and
(h) payments in respect of any work carried out by the Province
by day labour in accordance with section 2.
(2) Notwithstanding anything in this section, where in the
opinion of the Federal Minister
(a) the accounts and other information furnished by the Province
are insufficient for the purpose of determining the true
expenditures by the Province in respect of the works; or
(b) the expenditures by the Province in respect of the works,
by comparison with market costs prevailing when the works
were undertaken, are excessive,
the Federal Minister shall cause an appraisal to be made of the cost
of the works in question at the time when the works were undertaken
and that appraisal shall form the basis of the determination of the
cost of the works.
7. Notwithstanding anything in this agreement, the cost of the
works shall not include expenditures by the Province in respect of
(a) construction carried out on Black Creek prior to the date
of signing of this agreement;
(b) interest on money borrowed;
(c) taxes on land;
(d) the administration costs of the Province other than such
additional costs which may be occasioned by the works;
(e) wages, salaries and expenses of officers or servants of the
Province except those provided for in section 6;
(f) fencing the works, except the relocation of fences which have
been removed and fences required as a safety measure;
the construction of the works to the extent that, in the
judgment of the Federal Minister pursuant to the appraisal
provided for in subsection (2) of section 6, such expenditures
were excessive;
(h) the installation of additional, or improvement of any water

works, sewers, electrical conduits or other public utilities;
and
(i) any matter, to the extent that the Province is reimbursed
from any source other than under this agreement in respect
of that matter.
$. (1) The Province will, before the 15th day of each calendar month,
submit to the Federal Minister a statement claiming payment on account
of the cost of the works incurred by it during the preceding calendar
month.
(2) Each of such claims shall be for 37` per cent of the cost
of the works as detailed in subsection (1) of section 6 and shall
be in such form and accompanied by such proof and certification as may
be required by the Federal Minister, the Comptroller of the Treasury
of Canada or persons authorized by either of them, but no claim shall
be included in a statement in respect of any item of the works that
has not received the prior approval of the Federal Minister.
9. (1) When the Federal Minister receives a claim for payment in
accordance with section $, Canada will make a payment to the Province
not exceeding the amount claimed, subject to subsection (2) of this
section, and subject to certification by a representative of the Federal
Minister that the works in respect of which the claim has been submitted
have been satisfactorily performed.
(2) From the amounts payable to the Province pursuant to sub-
section (1) of this section the Federal Minister may cause to be held
back until completion of the works to his satisfaction an amount not
exceeding ten per cent of the amount payable in respect of each item
of cost for which a claim is made.
10. (1) When the Federal Minister is satisfied that the works have
been completed in accordance with this agreement, Canada will pay to
the Province the balance of the amount payable in respect of the cost
of the works for which a claim has been made by the Province.
(2) When Canada has paid to the Province an amount equal to the
lessor of

1 per cent of the cost of the-works, or
(b) $9,000,000.00,
then Canada's financial obligations under this agreement shall cease.
(3) If Canada pays to the Province an amount that exceeds the
amount payable pursuant to this agreement, the Province will refund the
excess, and Canada may, in addition to any other recourse, recover any
such amount from amounts payable by Canada to the Province on any
account.
11. Notwithstanding anything in this Agreement, no claim for payment
in respect of the cost of the works may be made by the Province after
one year has elapsed from the completion of the works.
12. (1) The Province will maintain full records of all expenditures
relating to the cost of the works together with all proper documents
and vouchers relating thereto and will make such records, documents
and vouchers available to the Federal Minister, the Comptroller of
the Treasury of Canada or persons authorized by either of them for
examination and audit, and will give to the Federal Minister, the
Comptroller of the Treasury of Canada or persons authorized by either
of them all reasonable assistance, in such examination and audit.
(2) The Province will keep intact, for a period of five years
from the date of the completion of the works, all records, documents
and vouchers specified in subsection (1) of this section.

13. (1) The Federal Minister may appoint representatives of Canada
to report on all phases of construction of the works and they may
make any inspections, enquiries and tests that they consider necessary
to assist them in reporting on construction and determining the cost
of the works, and may discuss with the appropriate representatives of
the Province any matter concerning the completion of the works in
accordance with this agreement.
(2) Where, in order to give effect to this agreement, the
Federal Minister considers it necessary to inspect or appraise any
lands or works, the Federal Minister may cause such inspections and
appraisals to be made as he deems advisable and the Province will
afford the Federal Minister and his representatives every facility
for the purpose.
(3) The approval of the Federal Minister of any engineering or
construction matter involving expenditure of Federal funds under this
agreement shall be a condition precedent to such expenditures of
Federal funds by Canada.
14. This agreement shall not be construed so as to vest in Canada any
proprietary interest in the proposed dams and channel improvements.
15. The Province will arrange that the dams and channel improvements
be maintained in proper order at all times.
16. The Province will indemnify and save harmless Canada against all
actions, suits, claims, demands, costs and expenses whatsoever in
respect of any accident, injury or damage sustained in connection
with or arising out of the execution of this agreement or any of the
matters connected therewith.
17.. Payment of contributions by Canada under this agreement are
hereby excepted from the operation of section 5 of the Fair Wages and
Hours of Labour Act, and the Province will ensure that all persons
employed in the construction of the works are paid fair wages and
that the hours of work to be observed shall be those from time to
time determined by the Province and shall be generally those covering
similar work undertaken by the Province in the district.
18. The Province will without delay and at no expense to Canada,
pursuant to the said i7Brief on flood control and water conservation ",
being Exhilr..t "A" attached hereto, acquire or ensure the zoning of
the flood plain lands for use in perpetuity for flood and recreational
purposes only.
19. The Province will, within ten years from the date of this agreement,
pursuant to the said ''Brief on flood control and water conservationP4,
being Exhibit "A" attached hereto, construct at no expense to Canada
the following dams or such equivalent dams in the Metropolitan Toronto
region as shall be approved by the Federal Minister:
Snelgrove Dam on Etobicoke Creek;
Milne Dam on Rouge River;
Audley Dam on Duffin Creek;
Green River Dam on Duffin Creek;
West Hill Dam on Highland Creek.
20. (1) The Province will submit to the Federal Minister before the
1st day of September, 1961, a programme for ancillary conservation
measures in the Metropolitan Toronto region.
(2) Such programme shall include reforestation in accordance with

programmes subnitted under subsection (1) hereof shall be submitted
to the Federal Minister for approval.
22. The Province will erect a suitable sign at the site of each project
to be constructed under this Agreement, of such size and wording as
shall be approved by the Federal Minister.
23. During the period of construction and thereafter the Province will
at its expense take necessary measures for the protection of fish and
wildlife resources in the Metropolitan Toronto region.
24. The Province may delegate to the local authority any of the powers
or duties, or both, vested in or imposed upon or undertdcen by the
Province under this Agreement and any such delegation shall not release
the Province from its obligations under this Agreement.
25. No member of the House of Commons shall be admitted to any
share or part of the contract, agreement or commission, with respect
to the works, or to any benefit to arise therefrom.

That the Executive Committee be authorized on
behalf of the Authority to make application
under the Winter Works Incentive Programme
1961 -1962 to undertake a Winter Works Programme
at an estimated cost of $75,000.00 as outlined
in the communication dated September 26th,
1961;
CONSERVATION LANDS:
(6) LEASING OF AUTHORITY -OWNED LANDS TO PRIVATE
INDIVIDUALS FOR RECREATION PURPOSES
That the following policy be adopted:
No Authority -owned lands be leased to
private organizations for recreation
purposes."
(7) REGULATIONS APPLICABLE TO LANDS OWNED BY
METROPOLITAN TORONTO AND REGION CONSERVATION
AUTHORITY
That the Regulations Applicable to Lands Owned
by the Metropolitan Toronto and Region
Conservation Authority appended as Schedule
"A" of the Minutes of Executive Meeting No. 12/61
and amended, be adopted;
(8) SCHEME C.A. -32 -- "A SCHEME FOR THE EXTENSION
OF THE COLD CREEK CONSERVATION AREA"
That Scheme C.A, -32 -- "A Scheme for the Extension
of the Cold Creek Conservation Area" be
adopted, and further in this connection, that
the following action be taken:
(i) that all Member Municipalities be

designated as Benefitting;
(ii) that the Minister of the Department
of Commerce and Development be requested
to approve of the Scheme, and make a
Grant of 50% of the cost thereof;
(iii) that when approved, the appropriate
Authority officials be authorized and
directed to take whatever action is
required in connection with the Scheme,
including the execution of any necessary
documents;
FLOOD AND POLLUTION CONTROL:
BLACK CREEK FLOOD CONTROL PROGRAMME - ENGINEERING
STUDY
That the Agreement with the firm of James F.
MacLaren Associates for the Engineering of the
Black Creek Channel as signed by the Chairman
and the Secretary - Treasurer, be confirmed;
(10) DUFFIN?S CREEK - VILLAGE OF STOUFFVILLE
That provision be made in the 1962 Budget
to undertake Final Engineering for the improve-
ments of the Duffin4s Creek in the Village
of Stouffville from Main Street to Sommerville
Street -- said engineering to be carried out
by R. K. Kilborn and Associates at a cost not
to exceed $6,000.00;
(11) ENGINEERING AGREEMENT - ARTHUR PERCY DAM &
RESERVOIRS GREEN RIVER DAM & RESERVOIR
That the Agreement with the firm of R. K.
Kilborn and Associates for the Engineering
of the Arthur Percy Dam and Reservoir and
the Green River Dam and Reservoir as signed
by the Chairman and the Secretary - Treasurer,
be confirmed;
(12) ENGINEERING AGREEMENT - CLAIREVILLE DAM &
RESERVOIRS EBENEZER DAM & RESERVOIR
That the Agreement with the firm of James F.
MacLaren Associates for the Engineering of the
Claireville Dam and Reservoir and the Ebenezer
Dam and Reservoir as signed by the Chairman
and the Secretary- Treasurer be confirmed;
(13) ENGINEERING AGREEMENT - WOODBRIDGE CHANNEL
That the Agreement with the firm of James F.
MacLaren Associates for the Engineering of the
Woodbridge Channel as signed by the Chairman
and the Secretary- Treasurer be confirmed;
(14) PRELIMINARY ENGINEERING - DON RIVER
That the Agreement with the firm of H. G.
Acres and Company Limited for the Preliminary
Engineering of the Don River Watershed as
signed by the Chairman and the Secretary -

That the Regulations respecting the Dumping
of Fill as amended by the Registrar of Regulations
and in accordance with Section 5 -2 of the
Regulations Revision Act be confirmed;

That all expenditures in connection with the

received, be transferred to the appropriate

authorized to sign the Agreement with James
F. MacLaren Associates for an Engineering Study
of the East and Main Branches of the Humber
River subject to the approval of the Minister
of Commerce and Development and the Minister
of Northern Affairs and National Resources.
(19) PRELIMINARY ENGINEERING STUDY OF THE MIMICO
CREEK
That H. G. Acres and Company Limited be
engaged to undertake a Preliminary Engineering
Study of the Mimico Creek as outlined in their
proposal dated May 15th, 1961, and not to
exceed $50,000.00, and that the following
action be taken:
(i)
that the proposal be submitted to the
Minister of Commerce and Development
for approval and that he be requested
to make a Grant of 50% of the cost of
the study;
(ii) that all Member Municipalities be
designated as Bene3fitting;
(iii) that Budget provisions be made in the
1962 Budget for this work;
REFORESTATION AND LAND USE:
(20) SCHEME R.L. -4 -- "EXTENSION OF THE PALGRAVE
FOREST AND WILDLIFE CONSERVATION ARE AIV
That Scheme R.L. -4 -- "A Scheme for the

Extension of the Palgrave Forest and Wildlife
Conservation Area be adopted; and further in
this connection that the following action be
taken:
(i) all Member Municipalities be designated
as Benefitting;

(iii) when approved, the appropriate Authority

(21) REGULATIONS REGARDING PRIVATE REFORESTATION
ASSISTANCE
That the sections of the Regulations Regarding
Private Reforestation Assistance be amended
as set forth in Resolution No. 2 of Reforestation
and Land Use Advisory Board Meeting No. 1/61.

PRESENTATION OF DEEDS:
Reeve Davidson, on behalf of the Township of East York, presented the
deeds of municipally -owned lands containing approximately 275 acres
to the Authority. Dr. Lord, on behalf of the Authority, thanked
Reeve Davidson for this magnificent gift.
ANNOUNCEMENTS:
Dr. Lord announced that The Statement of Policy on Flood Plain Lands
had been received from the printers and that the Committee would
be proceeding shortly to visit all Municipalities to present the
Statement to Councils.
ADJOURNMENT:
